MASD AGM 7:00 PM September 29

To All Clubs & Board Members:

A reminder that the MASD Board Meeting & AGM is taking place on Monday, September 29th. A draft agenda for all meetings will be forwarded in a timely manner. We will be holding an Executive Meeting, Board Meeting,and the AGM on the same evening.

The Executive Meeting will be first, commencing at 6:15 pm. The main purpose is to approve financial statements and recommend them for approval at the AGM. Only the Executive members are invited to attend.

The AGM will follow immediately thereafter (7:00 pm – same Zoom link), where we will elect Directors (Executive, approve financial statements, receive club reports for activities planned for 2025-2026, and vote on changes to our Bylaws).

For the purposes of the AGM, Clubs are entitled to multiple votes based on the number of their registered members. This year’s voting entitlement is:

Asessippi – 4

LaRiviere – 3

Masters – 3

Summit – 4

Westman – 3

Winnipeg Alpine Racers – 7

According to our By-laws, proxy voting is not permitted. This means that in order for a club to exercise its allotted number of votes, it needs to have that many people present at the (virtual) meeting.

Positions are open for 2-year terms. The positions open for election this year are:

1. President
2. VP – Technical
3. VP – Finance (1-year interim term)
4. VP – Marketing (1-year interim term)
5. Member-At-Large

Duties – The duties of Officers are as follows:

1. The President will be the chair of the Board, will preside at the Annual and Special Meetings of the Corporation and at meetings of the Board unless otherwise designated, will be the official spokesperson of the Corporation, and will perform such other duties as may from time to time be established by the Board. The President shall attend all ACA Meetings. When the President is unable to attend the ACA meetings, attendance will be in the following order, Vice President – Finance, Vice President – Technical.
2. The Vice President – Finance shall be responsible for the monitoring of all areas of finance and shall perform the duties of keeping and preserving full and accurate of all financial records for the Association. The Vice President – Finance shall also assist in the preparation of the Audited Financial Statement. The Vice-President – Finance shall assume the duties of the President in the absence of the latter and any duties appointed by the board of Directors.
3. The Vice President – Marketing shall be responsible for promoting and coordinating media coverage for MASD events. Coordinating with Vice President – Finance on sponsorship and special events.
4. The Vice President – Technical shall be responsible for the monitoring of all areas and committees involved in the official technicalities and safety of the sport. The Vice President – Technical shall chair the Officials Working Committee.

Please advise your membership that these positions may be open. If you can think of a well-suited individual for one of these, please ask them to contact Jody or John Prall prior to the AGM and we can fill them in on some of the responsibilities required.

Following immediately after the AGM (8:00 pm – same Zoom link), the Board will have a short meeting to review 3 policies that need to be voted on and discuss membership fee increases.
